These Terms and Conditions govern your use of the Krung Pivot website and the consulting services we provide. By accessing this website or engaging our services, you agree to these terms. Please read them carefully.

1. Definitions

  • "Company", "we", "us", "our": Krung Pivot, 78 Phahonyothin Road, Chatuchak, Bangkok 10900, Thailand.
  • "Client", "you": The individual or organisation engaging our consulting services or using this website.
  • "Services": The consulting engagements offered by Krung Pivot, including Pricing Strategy Development, Change Readiness Program, and ASEAN Market Intelligence Package.
  • "Deliverable": Any written report, document, framework, or presentation produced as the output of a consulting engagement.
  • "Agreement": These Terms and Conditions together with any engagement letter or service agreement signed between the parties.

2. Acceptance of Terms

Use of this website or commencement of a consulting engagement constitutes your acceptance of these Terms and Conditions. If you do not agree, please do not use this website or engage our services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging on behalf of an organisation, you confirm that you are authorised to bind that organisation.

3. Services Description

Krung Pivot provides business consulting services with defined scope, timeline, and deliverables. Each engagement is governed by a specific service brief agreed between the parties prior to commencement. Services are available to clients in Thailand and across ASEAN. Some services may involve travel or remote collaboration depending on scope.

4. Engagement Terms

Each consulting engagement begins upon signing of an engagement letter and receipt of the initial payment instalment. Engagements are subject to the following conditions:

  • The scope, deliverables, timeline, and fee are agreed in writing before work commences.
  • The client is responsible for providing timely access to relevant information, key personnel, and necessary approvals.
  • Delays caused by the client's failure to provide required inputs may extend the engagement timeline without additional cost to the client, subject to reasonable notice.
  • Material changes to the engagement brief require written agreement and may be subject to a revised fee.

5. Payment Terms

Fees for each engagement are fixed and stated in the engagement letter in Thai Baht (THB). Payment is structured as follows:

  • 50% of the engagement fee is due upon signing of the engagement letter.
  • 50% is due upon delivery of the final deliverable.
  • Invoices are payable within 14 days of issuance.
  • Late payments may be subject to a charge of 1.5% per month on the outstanding balance.
  • All fees are exclusive of applicable taxes, which will be itemised separately on invoices.

6. Confidentiality

Prior to any substantive exchange of information, both parties will execute a mutual non-disclosure agreement. The confidentiality obligations set out in that agreement govern the handling of all confidential information exchanged during the engagement. These obligations survive the termination of the engagement for a period of three years.

7. Intellectual Property

Upon full payment of all engagement fees, the client receives a perpetual, non-exclusive licence to use the deliverables for their internal business purposes. Krung Pivot retains ownership of all underlying methodologies, frameworks, tools, and know-how used in producing the deliverables.

Deliverables may not be resold, sub-licensed, or presented publicly as the client's own original research without written consent from Krung Pivot.

All content on this website, including text, design elements, and structure, is the intellectual property of Krung Pivot. Reproduction without written permission is not permitted.

8. Warranties and Disclaimers

Krung Pivot will perform services with reasonable care, skill, and diligence. However, we do not warrant that deliverables will produce any specific commercial outcome, financial result, or business performance. Consulting outputs reflect professional analysis and judgment; their application and outcomes depend on factors outside our control.

This website is provided "as is". We do not warrant that it will be free from errors, interruptions, or security vulnerabilities at all times.

9. Limitation of Liability

To the extent permitted by Thai law, Krung Pivot's aggregate liability to the client for any claim arising from a consulting engagement shall not exceed the total fees paid by the client for that engagement.

We shall not be liable for indirect, consequential, or incidental losses, including loss of profit, loss of revenue, or loss of business opportunity, even if we have been advised of the possibility of such losses.

10. Termination

Either party may terminate an engagement by providing 14 days' written notice. In the event of termination:

  • The client is liable for fees proportionate to the work completed at the date of termination.
  • Krung Pivot will deliver any partially completed work products at the client's request.
  • Termination does not affect rights and obligations that have already accrued.

11. Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through good-faith discussion before resorting to formal proceedings. If informal resolution is not achieved within 30 days, disputes shall be referred to mediation under the rules of the Thai Arbitration Institute.

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have jurisdiction over any matter not resolved through mediation.

12. General Provisions

  • Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties for the relevant engagement.
  • Severability: If any provision is found unenforceable, the remainder of these Terms continues in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: Neither party may assign its obligations under an engagement without the written consent of the other party.
  • Force majeure: Neither party shall be liable for delays caused by circumstances beyond their reasonable control.

13. Changes to These Terms

We may update these Terms periodically. Material changes will be noted on this page with a revised effective date. Continued use of this website following such changes constitutes acceptance of the updated Terms. Changes do not apply retrospectively to existing engagement agreements.
